Terms of Service

1. Acceptance of Terms

By accessing or using the QvevriConnect platform (“Service”), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service. These terms apply to all users including producers, importers, and visitors.

2. Description of Service

QvevriConnect provides a B2B digital marketplace connecting Georgian wine producers with importers, distributors, and buyers. Features include a producer directory, varietal encyclopedia, RFP engine, sample management tools, compliance document storage, and analytics. QvevriConnect facilitates connections; it is not a party to any wine purchase, sale, or distribution agreement.

3. Eligibility

You must be at least 21 years of age (or the legal drinking age in your jurisdiction, if higher) to use QvevriConnect. By registering, you represent that you meet this requirement and that all registration information you provide is accurate and complete. Business accounts must represent a legitimately operating business entity.

4. Account Registration

You are responsible for maintaining the security of your account credentials. You may not share your account with others. You must notify us immediately at support@qvevriconnect.com if you suspect unauthorized access to your account.

We reserve the right to suspend or terminate accounts that violate these terms, provide false information, or engage in fraudulent activity.

5. Producer Obligations

Producers using QvevriConnect represent and warrant that:

• All wines and products listed are accurately described
• They hold all necessary licenses and certifications for export
• Compliance documents uploaded are authentic and current
• They will fulfill agreed sample requests in good faith
• They will comply with all applicable Georgian and international export laws

6. Importer Obligations

Importers using QvevriConnect represent and warrant that:

• They hold all state and federal licenses required to import alcohol in their jurisdiction
• RFPs submitted represent genuine sourcing intent
• They will comply with all applicable import, distribution, and alcohol control laws
• They will not misuse producer compliance documents for unauthorized purposes

7. Prohibited Conduct

You may not:

• Use the platform for any unlawful purpose
• Post false, misleading, or fraudulent content
• Scrape, crawl, or systematically extract data from the platform
• Attempt to gain unauthorized access to any part of the Service
• Harass, threaten, or abuse other users
• Use the platform to facilitate transactions that violate alcohol control laws
• Impersonate another person or entity

8. Subscription & Payments

Certain features require a paid subscription. Payments are processed by Stripe. Subscription fees are billed in advance and are non-refundable except as required by law. We reserve the right to change pricing with 30 days notice to current subscribers.

Platform fees cover technology services only. QvevriConnect does not charge commissions on wine sales; all commercial terms are negotiated directly between producers and importers.

9. Intellectual Property

QvevriConnect owns all rights to the platform, its design, software, and content we create. You retain ownership of content you upload (wine descriptions, photos, documents). By uploading content, you grant us a limited license to display and transmit that content to facilitate platform functionality.

10. Disclaimer of Warranties

The Service is provided “as is” and “as available” without warranties of any kind. QvevriConnect does not warrant that the Service will be uninterrupted, error-free, or that any particular result will be achieved. We do not verify all producer claims and disclaim responsibility for the accuracy of user-submitted content.

11. Limitation of Liability

To the maximum extent permitted by law, QvevriConnect shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Service, including but not limited to lost profits, failed business arrangements, or disputes between producers and importers. Our total liability shall not exceed the fees paid by you to QvevriConnect in the 12 months preceding the claim.

12. Governing Law

These Terms are governed by the laws of the State of New York, without regard to its conflict of law provisions. Any disputes shall be resolved through binding arbitration in New York, NY, except that either party may seek injunctive relief in a court of competent jurisdiction.

13. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email or platform notice at least 14 days before taking effect. Continued use after the effective date constitutes acceptance.
